These Terms of Service and End User License Agreement (collectively, the “Agreement”) are an agreement between Zatos VPN (“Zatos”, “we”, “us”, or “our”) and you (“you”, “your”, “User”, or “Customer”). This Agreement sets forth the terms and conditions governing your access to and use of Zatos VPN products and services (collectively, the “Services”).

This Agreement covers (i) your subscription or service plan; and (ii) any additional services you order to supplement your plan, as described on our website or within the Services. By accessing, using, registering for, purchasing, downloading, installing, or receiving any of the Services, you agree to be bound by this Agreement and our Privacy Policy and other related policies (“Policies”), which are incorporated by reference. Additional terms may apply to certain Services; if so, those additional terms apply alongside this Agreement.

If you do not accept and agree to this Agreement and our Policies, you must not access or use the Services.

Changes to this Agreement

We may modify this Agreement from time to time to reflect legal requirements or changes to the Services. We will notify you if a change materially affects your rights under this Agreement. Changes will not apply retroactively and, unless required immediately for legal or security reasons, we will provide notice a reasonable period before the change takes effect. If you do not agree to the revised terms, you must stop using the Services (see Cancellation and Termination).

Governing Law and Dispute Resolution

Users in the United States — Governing Law and Arbitration

For users within the United States, the laws of the State of California apply to this Agreement and any dispute arising out of or relating to it or your use of the Services. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If a dispute is brought for arbitration, it will be resolved by final and binding arbitration before a single arbitrator, chosen by Zatos, pursuant to the commercial arbitration rules of the American Arbitration Association (“AAA”), including the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”), as modified by this Agreement, and administered by the AAA.

Arbitration will proceed only on an individual basis. Class actions and representative proceedings are not permitted. The arbitrator decides all issues, including the scope of this arbitration clause, and is bound by this Agreement. The arbitration will be held at an AAA location chosen by Zatos in California.

If you demonstrate that arbitration costs would be prohibitive compared to litigation, Zatos will pay as much of your filing, administrative, and arbitrator fees as the arbitrator deems reasonably necessary to prevent arbitration from being cost-prohibitive. If the arbitrator finds that the substance of your claim or the relief sought is improper or not warranted under the standards of Federal Rule of Civil Procedure 11(b), payment of arbitration costs will be governed by the AAA Rules, and you agree to reimburse Zatos for any amounts paid on your behalf that are otherwise your obligation under those rules.

If the arbitrator grants you relief equal to or greater than the value of your demand, Zatos will reimburse your reasonable attorneys’ fees and expenses incurred in connection with the arbitration.

Users Outside the United States — Governing Law and Jurisdiction

For users outside the United States, this Agreement and any non-contractual obligations arising out of or relating to it will be governed by and construed in accordance with the laws of England and Wales, subject to any mandatory consumer protection laws in your country of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Zatos agree that the courts in the country where you reside shall have non-exclusive jurisdiction to settle disputes or claims (including non-contractual disputes) arising out of or in connection with this Agreement or your use of the Services.

Where available under local law, you may also raise disputes with an alternative dispute resolution body in your home jurisdiction.

1. Eligibility, Registration, and Account Security

The Services are intended for users who are 18 years of age or older (or the age of majority in your jurisdiction, if higher). By registering for or using the Services, you represent and warrant that you meet this requirement.

If you register for or use the Services on behalf of another party, entity, or organization, you represent and warrant that you are authorized to bind them to this Agreement.

You agree to provide accurate and complete information when registering and to keep it current. You are solely responsible for maintaining the confidentiality of your username and password and for all activity under your account.

2. Prohibited Persons and Sanctions Compliance

Certain individuals and entities are prohibited from using the Services under trade, economic sanctions, export, and control laws imposed by the United States, the United Kingdom, and other governments.

You may not register for, subscribe to, or use the Services if you are located in a sanctioned country or are listed as, or associated with, a sanctioned individual or entity (including those on the U.S. Office of Foreign Assets Control “Specially Designated Nationals” list), as determined by Zatos in its sole discretion.

Use of the Services in violation of this section is a material breach of this Agreement and may result in immediate termination without refund.

3. License and Use of the Services

a) Scope of License

Zatos grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited, and revocable license to install and use the software necessary to access the Services (“Software”) on the number of devices permitted by your subscription and for the duration of your subscription term.

Unless your plan explicitly provides otherwise, each subscription permits use on one device at a time. If you wish to use the Services on multiple devices, you must purchase a multi-device plan or additional licenses, where available.

All rights not expressly granted are reserved by Zatos.

b) Limitations

Unless expressly permitted by law, you may not reverse engineer, decompile, or disassemble the Software. You may not rent, lease, lend, sublicense, transfer, or host the Software for third parties. You may not circumvent copy protection or access controls.

c) Restrictions on Access

You may access the Services only through interfaces and protocols provided or authorized by Zatos. You agree not to access the Services through unauthorized means, including unlicensed clients.

d) Redistribution

You may not redistribute the Services or provide others access to them unless you have a separate written agreement with Zatos authorizing this activity.

e) Trial Licenses

If you receive a free trial, Zatos grants a limited license to use the Services only during the trial period and only in accordance with this Agreement. Trial availability and limitations may be stated at signup or within the Services. Unless otherwise disclosed at signup, trials do not automatically convert to paid subscriptions without your affirmative action.

f) Compatibility and Requirements

You are responsible for obtaining and maintaining the devices, systems, software, and internet connectivity required to use the Services. Zatos is not responsible for delays or failures outside its reasonable control.

g) Updates

We may provide updates, upgrades, or modifications to the Software or Services. You consent to automatic updates where required for security, stability, or feature delivery.

h) Technical Support

Zatos may provide technical support for the current version of the Software. Support may require you to provide information reasonably requested to diagnose issues. Where remote assistance is used, it is governed by the Remote Access section below.

i) Third-Party Components

The Software may include third-party components subject to their applicable licenses, which will be made available where required.

j) Data Breach Search (If Offered)

Any data breach search feature is informational only and does not guarantee prevention of future breaches.

k) Fair Usage Policy for “Unlimited Devices” (If Offered)

Unlimited device plans are intended for a single individual or immediate family for personal, non-commercial use. We may restrict usage to prevent misuse.

4. Modification and Updates to the Services

We may change the Services or features for legal, security, operational, or technological reasons. If changes are material, advance notice will be provided where required.

5. Term and Automatic Renewal

a) Initial Term and Renewal (Non-Monthly Plans)

Subscriptions renew automatically unless canceled before renewal. Renewal notices may be sent by email or within your account.

b) Monthly Subscriptions

Monthly subscriptions renew automatically each month until canceled.

c) Discount Promotions

Discounted subscriptions renew at the standard price unless otherwise disclosed.

d) Exceptions

Automatic renewal may be disabled in cases of disputes or chargebacks.

e) Suspension and Deletion for Non-Payment

Failed payments may result in suspension and eventual deletion of data, where applicable.

6. Pricing, Billing, and Payment

Prices, currencies, billing, renewals, and taxes are displayed at purchase. You authorize Zatos to charge your selected payment method. Billing issues should be reported promptly to support@zatos.com.

7. Cancellation, Termination, and Refunds

You may cancel at any time. Refund eligibility depends on the policy applicable at purchase and local law.

8. Personal Information

Personal information is collected and used in accordance with the Privacy Policy.

9. Remote Access Services Disclaimer (If Applicable)

Remote support is provided at your request and risk. You are responsible for backing up data prior to remote sessions. To the fullest extent permitted by law, Zatos is not liable for data loss or damages arising from remote access.

10. Intellectual Property

All intellectual property rights in the Services and Software are owned by Zatos or its licensors.

11. Limited Warranty

EXCEPT AS EXPRESSLY PROVIDED AND TO THE EXTENT PERMITTED BY LAW, ZATOS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Disclaimer and Indemnity

You agree to indemnify and hold harmless Zatos from claims arising from your breach or misuse of the Services.

13. Limitation of Liability

Zatos’s liability is limited to the extent permitted by law and capped at fees paid in the prior twelve (12) months.

14. Assignment by Zatos

Zatos may assign its rights and obligations under this Agreement.

15. Assignment by You

You may not assign this Agreement without prior written consent, except where permitted by law.

16. Notices

Notices will be provided by email or within your account interface.

17. Entire Agreement

This Agreement constitutes the entire agreement between you and Zatos regarding the Services.

18. Severability

Invalid provisions do not affect the remaining provisions.

19. No Waiver

Failure to enforce any provision is not a waiver.

20. Third-Party Rights

This Agreement does not create third-party rights except where required by law.
